Airedale

Rob Bywell (Airedale Group) and Alan Armstrong (Rockpool Investments)

Airedale is a long-established group, installing specialist equipment in hotels, hospitals and other commercial premises. Over the past two years, sales have grown by 80% to over £18 million.  

Rockpool investors helped management to buy the business from its private owners, with a view to doubling profits over the next 3 years in preparation for a sale to a larger group. Rockpool investors can still access a mezzanine loan, which offers 10% per annum interest, a 10% premium on redemption and a share in a 6% equity warrant. The mezzanine loan offers a prospective 20% per annum return.

Chicago Rib Shack

“Fast casual” is the name being given to a new kind of restaurant, offering a short menu and what Marketing Week calls ‘a safe culinary adventure’. Chicago Rib Shack is an iconic brand recently re-launched in this "fast casual" format.

The first restaurant has delivered over £100,000 in trading profits on £1 million of revenue in its first year. Rockpool is backing a strong management team to grow the business to 10 restaurants, with a targetted £10 million value in 4 years.

Following an introduction by Stephen Thomas, founder of Luminar Leisure and a member of the Rockpool Network, Rockpool has secured exclusivity for an investment of £1.7 million in EIS qualifying shares.

Sorogold Street

Rockpool Investments - Sorogold Street Limited

Sorogold Street offers an infrastructure investment with inflation-linked yield, freehold security and equity upside. The company owns a recently built £5.5 million social housing development. Rental income is guaranteed for 20 years by St Helens Borough Council. The company has secured a 15-year bank loan to leverage returns for investors.

Rockpool investors are providing a £2.1 million loan and equity package with an initial yield of 7.1% and a target compound annual return of 11%. The rent is indexed to RPI and investors are entitled to 80% of growth in the value of the freehold property, offering an attractive hedge against inflation. The investors’ loan is secured by a charge over the freehold, subject to bank priority.

Basalt Global

Basalt Global plans to generate electricity and heat at a network of small-scale, gas-fired combined heat and power plants in hotels, hospitals and similar premises around the UK.

Rockpool investors are subscribing EIS-qualifying shares to fund installation of approximately 26 power plants over a 2-year period. For exit focussed investors, the target is to deliver 18% compound growth per annum through an exit in 2016. For long-term investors, there is the prospect of a fixed 7% yield with further upside and exemption from inheritance tax.

Kirkleatham

Kirkleatham Memorial plans to construct and operate a crematorium in Kirkleatham, north-east England. A crematorium is typically something of a local monopoly, producing stable cashflows. Combined with ownership of freehold property estimated to be worth £4.6 million after 12 months, this stability is the key attraction of this investment.

The management team has a long track record in this sector and intends personally to invest £300,000 on the same terms as Rockpool investors.

There is a clear exit route in year 4, forecast to deliver £1.33 per 70p of investors’ net cost. Alternatively, investors can opt to hold for a long-term dividend yield of 7% and the prospect of saving 40% inheritance tax.

Rivington Construction

Rivington Construction is a new company set up to deliver construction projects on a turnkey basis. The £5 million funding will be used primarily to construct a care home for a well-established independent care home operator. The customer owns a freehold site with appropriate planning permission, valued at £1.2 million.

Rivington Construction will have contracted income of £7.4 million and will use carefully selected sub-contractors under fixed price contracts to control construction risks. This should enable the company to deliver an exit for investors in 2016 at £1.26 per 70p of investors’ net cost.
